Acceptable Use Policy

1. Overview

This Acceptable Use Policy (the "Policy") governs your access to and use of the Nexma platform, the Jax AI agent, our APIs, and all related services (collectively, the "Services") provided by Nexma, Inc. ("Nexma," "we," "us," or "our"). It applies to every user, account holder, and organization that accesses the Services.

By using the Services, you agree to comply with this Policy. This Policy supplements, and is incorporated into, our Terms of Service. Capitalized terms not defined here have the meaning given to them in the Terms of Service. Where this Policy is more restrictive than the Terms of Service with respect to a particular use, the more restrictive provision controls.

We may update this Policy from time to time to reflect changes in our Services, legal requirements, or industry practices. Your continued use of the Services after an update takes effect constitutes acceptance of the revised Policy. If you do not agree with this Policy, you must stop using the Services.

2. Permitted Uses

The Services are designed to support lawful spatial analysis, infrastructure planning, and AI-assisted design workflows. Subject to your subscription and the rest of this Policy, you may use the Services for purposes including the following:

  • Planning, designing, and modeling physical infrastructure such as fiber, water, electric, and transportation networks.
  • Performing geospatial analysis, mapping, visualization, and decision support on data you are authorized to use.
  • Using Jax and other AI agents to assist with design, optimization, and operational workflows, subject to appropriate human and professional review.
  • Collaborating with your team and authorized partners on projects within your organization's workspace.
  • Integrating the Services with your own applications and systems through our APIs in accordance with the API Usage Guidelines below.

3. Prohibited Uses

You may not use the Services for any purpose that is unlawful, harmful, or otherwise prohibited by this Policy. The categories below are illustrative and not exhaustive — conduct that is harmful or abusive may be prohibited even if it is not specifically listed.

3.1 Illegal Activities

You may not use the Services to engage in, promote, or facilitate any activity that violates applicable law. This includes, without limitation:

  • Violating any applicable local, national, or international law or regulation, or any contractual or fiduciary obligation.
  • Engaging in or facilitating fraud, money laundering, deceptive practices, or other financial crimes.
  • Evading sanctions, export controls, or trade restrictions, or providing the Services to sanctioned parties or embargoed jurisdictions.

3.2 Harmful Activities

You may not use the Services to design, plan, or operate systems intended to cause harm to people, property, or the environment. This includes, without limitation:

  • Designing or operating systems intended to injure, endanger, harass, or unlawfully surveil individuals or groups.
  • Developing, designing, or facilitating weapons, weapons systems, or other instruments intended to cause physical harm.
  • Planning or executing activities that knowingly cause unlawful environmental damage or violate environmental protections.

3.3 AI and Agent Misuse

Jax and our other AI agents are tools to assist qualified professionals. You may not misuse them in ways that compromise safety, integrity, or the rights of others, including:

  • Attempting to extract, copy, or reconstruct our models, training data, weights, or prompts, or to bypass safety controls or content filters.
  • Using AI-generated outputs to produce misleading certifications, approvals, or representations of professional compliance.
  • Bulk scraping, harvesting, or systematically extracting outputs to train competing models or build derivative datasets.
  • Misrepresenting AI-generated designs or analyses as independently verified, surveyed, or engineer-certified when they are not.
  • Relying on AI outputs for safety-critical, regulated, or life-impacting decisions without appropriate qualified human and professional review.

3.4 Security Violations

You may not compromise, or attempt to compromise, the security or integrity of the Services or any connected systems, including:

  • Accessing, or attempting to access, any account, system, data, or network without authorization.
  • Conducting penetration testing, vulnerability scanning, or other security testing of the Services without our prior written authorization.
  • Introducing malware, viruses, worms, ransomware, or any other malicious or destructive code.
  • Intercepting, monitoring, or modifying communications or data not intended for you.

3.5 Platform Abuse

You may not use the Services in a manner that degrades, disrupts, or imposes an unreasonable burden on our infrastructure or other users, including:

  • Generating excessive API requests or other load that exceeds your plan's limits or impairs Service performance for others.
  • Launching or facilitating denial-of-service attacks or any activity intended to disrupt the availability of the Services.
  • Circumventing or attempting to circumvent usage limits, rate limits, access controls, or billing mechanisms.
  • Creating multiple accounts to evade restrictions, abuse free tiers, or otherwise bypass enforcement actions.
  • Using bots, scripts, or other automated means to access the Services in ways not expressly permitted by our APIs or documentation.

3.6 Data Misuse

You are responsible for the data you upload, process, and generate through the Services. You may not:

  • Upload, store, or process data that you do not have the lawful right and necessary permissions to use.
  • Infringe the intellectual property, imagery licensing, or data rights of any third party.
  • Process classified, restricted, or otherwise controlled government data in violation of applicable handling requirements.
  • Collect, process, or share personal data without a valid legal basis, required consent, or compliance with applicable privacy laws.

3.7 Competitive Misuse

You may not use the Services to gain an unfair competitive advantage in violation of your agreement with us, including:

  • Using the Services to build, train, or improve a product or service that competes with Nexma.
  • Conducting benchmarking, performance testing, or competitive analysis for publication without our prior written consent.
  • Reverse engineering, decompiling, or disassembling any part of the Services except to the extent permitted by applicable law.

4. Spatial Data Responsibilities

Because the Services process geospatial data, imagery, and infrastructure models, you have specific responsibilities when using spatial content and outputs:

  • You are responsible for verifying the accuracy of spatial data and AI-generated designs before relying on them for real-world decisions or construction.
  • Outputs are not a substitute for a licensed survey or professional engineering work; you must comply with applicable surveying, engineering, and permitting requirements.
  • You must respect the privacy of individuals when capturing, uploading, or analyzing location data, imagery, or other spatial information, and may not use it for unlawful surveillance or tracking.
  • You must comply with export controls and applicable restrictions on sensitive geospatial data, high-resolution imagery, and critical infrastructure information.

5. API Usage Guidelines

If you access the Services through our APIs, you must follow these guidelines in addition to the rest of this Policy:

  • Respect published rate limits and quotas, and implement reasonable backoff and retry behavior.
  • Keep your API keys and credentials secure, do not share them, and rotate them promptly if compromised.
  • Provide any required attribution for data, imagery, and outputs as specified in our documentation and applicable licenses.
  • Request and store only the data your application needs, and handle it in accordance with applicable privacy and security obligations.
  • Handle errors gracefully and avoid retry loops or patterns that generate excessive load on the Services.

6. Enforcement

We may investigate suspected violations of this Policy and take any action we deem appropriate to protect the Services, our users, and third parties. Violations may result in consequences ranging from a warning to permanent termination of your account, depending on the severity and circumstances.

Enforcement Process

Where practical, we will follow a graduated enforcement process; however, we reserve the right to take immediate action — including suspension or termination — when a violation poses a serious risk of harm, legal liability, or disruption to the Services:

  1. Notification — we may notify you of the suspected violation and request that you remedy it within a reasonable period.
  2. Temporary suspension — we may temporarily suspend access to all or part of the Services while we investigate or pending remediation.
  3. Permanent termination — we may permanently terminate your account and access for serious or repeated violations.
  4. Content removal — we may remove, disable, or restrict access to content or data that violates this Policy.
  5. Legal action — we may pursue legal remedies and report unlawful activity to law enforcement or other authorities as appropriate.

If you become aware of any violation of this Policy, or of activity that abuses or threatens the Services, please report it to us at legal@nexma.ai

7. Modifications

We may modify this Policy at any time to reflect changes in our Services, legal or regulatory requirements, or operational practices. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice.

We encourage you to review this Policy periodically. Your continued use of the Services after any update takes effect constitutes your acceptance of the revised Policy.
